In case of any doubt about the terms of the Contract, please contact the relevant commercial department of Philco Eletrônicos SA You are not allowed to use the service before having read and accepted all the terms of the Contract, relevant agreements and rules, etc. After selecting “ I agree and send the contract ” (see the registration page for more details) and complete the registration procedure, or use the service in any way, you will be deemed to have read and agreed to the restriction of the Agreement and the rules above. In the event of any breach of the Agreement, Philco Eletrônico SA has the right to unilaterally restrict, suspend or terminate the service for you and has the right to investigate your relevant responsibilities.
You must sign the Service Agreement (hereinafter referred to as “ the Agreement ” ) and by Philco Eletrônico SA (hereinafter referred to as "Philco Eletrônicos SA"). I. Definitions of terms
1.1 Licensed software refers to the software system developed by Philco Eletrônicos SA, downloaded from the platform and installed and applied to mobile terminals of the specified system.
1.2 Services refer to services provided by Philco Eletrônico SA You can use these services on the mobile terminal with the licensed software.
II. Service
2.1 Philco Eletrônico SA offers intelligent life equipment management services, based on which you can access the smart terminal through Philco Eletrônicos SA and the smart platform of its suppliers through Philco Eletrônico SA Control, and make interconnections between smart equipment. Service content includes intelligent equipment management, scene interconnection and analysis report, etc. Such functions can be optimized or modified according to the changing demands or judgments of the service provider, and the provision of services can be suspended due to regular and irregular maintenance.
III Scope of the service
3.1 Philco Eletrônico SA grants you the right to use the product based on this software.
3.2 You are prohibited from licensing, selling, renting, transferring, issuing the product in any form or using the product for any other commercial purpose. 3.2 Due to limitations in the software adaptation platform and terminals, you can only use the licensed software on the platform and the authorized system terminal; If you install the licensed software on other terminal equipment, it may damage your hardware or software function.
3.3 You acknowledge that the licensed software may only be used for non-commercial purposes and the installation, application and execution of the licensed software is prohibited. If such a commercial operation is necessary, prior written authorization and permission from Philco Eletrônico SA will be obtained.
3.4 Philco Eletrônicos SA may change, update or transfer the licensed software or relevant features from time to time, and may add new features or services to the licensed software system. If no separate agreement is accompanied by the aforementioned new functions or services, you will be entitled to the corresponding functions and services, which are also subject to the Agreement.
3.5 You will be responsible for the accuracy, reliability, integrity and legality of the input data and for the legality of how you obtain the data, and will back up data and information from time to time. You must bear all risk of damage and loss of such information.
3.6 You must maintain your account number and password appropriately. In the event of any security breach for your account (including, but not limited to, user password disclosure), you must notify Philco Eletrônicos SA in time, and Philco Eletrônicos SA will help you to take relevant action . Otherwise, all behavior related to your account will be assumed by you and you will assume all responsibilities. **
IV. A third party
4.1 You acknowledge that a particular service offered by Philco Eletrônicos SA is based on software or services provided by third parties. This service is defined to facilitate your registration and the necessary legal authorization is obtained from the third party.
4.2 The product includes certain information and services from the third party. Philco Eletrônico SA does not control or assume responsibility for the third party's information and services.
4.3 You acknowledge that Philco Eletrônicos SA cannot guarantee that the licensed software will always use or contain such services, or that other software provided by the same third party will be used in the future. Likewise, you can use similar services provided by third parties. Upon enrollment, the corresponding software or services are subject to this Agreement.
V. Service application rule
5.1 You must use the licensed software in the normal way. The following ways are in violation of application rules:
1) Issue or share computer viruses, worms, malicious code or software that deliberately damages or changes the computer's system or data;
2) Collect information or data from other users without authorization, for example, e-mail address and the like;
3) Automatically use the product maliciously, causing the server to overload or interfering or damaging the web server and network links in other ways.
4) Attempt to visit server data or product communication data without authorization;
5) Interfere with or impair the production application by other users.
5.2 You understand and agree that:
1) Philco Eletrônico SA will determine whether or not it is involved in the violation of the above rules, and suspend or terminate its application license in accordance with the results of the determination or take other restrictions in accordance with the contracts.
2) Philco Eletrônicos SA will directly delete information that violates the law, or infringes the legal rights of third parties, or violates the Agreement issued by you when using the licensed software.
3) If a third party suffers damages due to its violation of the rules of the application, it must, independently, assume legal responsibility on its behalf, and protect and indemnify Philco Eletrônicos SA from losses or additional expenses generated from it. Otherwise, Philco Eletrônico SA has the right to claim compensation.
4) If Philco Eletrônicos SA suffers any loss due to its violation of the relevant laws or the Contract, it must compensate Philco Eletrônicos SA for losses and (or) expenses generated from it.

6.1 You promise that you will not perform any act in violation of inappropriate laws or behavior when using the service, such act and behavior include (but are not limited to):
6.1.1 Upload, transfer or share information containing one of the following contents:
1) Opposition to the basic principles determined in the Constitution;
2) jeopardize state security, reveal state secrecy, subvert state power and sabotage state unity;
3) Cause damage to the State's honor and benefit;
4) Incite national discrimination and hatred and sabotage national unity;
5) To destroy the religious policy of the State and defend heresy and feudalist superstition;
6) Spread rumors, disturb the social order and destroy social stability;
7) Disseminating obscenity, pornography, gambling, violence, murder and terror or instigating a crime;
8) insult or defame others and infringe the legal rights and interests of others;
9) Contain content of fraud, defraud, damage, threat, violation of the privacy of others, harassment, infraction, slander, rudeness, indecency or morally repulsive content;
10) Contain other content restricted or prohibited by applicable laws, regulations, rules, provisions and other legal norms.
VII. Private data and policy
7.1 It is crucial that Philco Eletrônico SA protects your personal information. Philco Eletrônico SA prepares the Privacy Policy of Philco Eletrônico SA, in which the contents related to intellectual property and protection, collection, use, sharing, storage and protection, etc. of your information is disclosed. We suggest that you read Philco Eletrônico SA's Privacy Policy completely.
VIII. Exception clauses
8.1 Unless otherwise specified in laws and regulations, Philco Eletrônicos SA will do its best to ensure the security, validity, accuracy and reliability of the licensed software and technologies and information involved, but Philco Eletrônicos SA cannot guarantee the same due the restriction of currently available technologies.
8.2 It understands that Philco Eletrônicos SA will not assume responsibility for direct or indirect losses caused by force majeure and the default of third parties.
8.3 You will be responsible for personal or incidental or indirect damages caused by or related to one of the following accidents: 1) A third party uses the licensed software or changes its data without permission; 2) Expenses and losses produced by the use of the licensed software; 3) Your misunderstanding of the licensed software; 4) Other losses related to licensed software caused by reasons not attributable to Philco Eletrônicos SA
8.4 Any other software derived from licensed software not developed and released by Philco Eletrônicos SA or the development and release not being granted by Philco Eletrônicos SA is illegal software. Downloading, installing and using this software can cause unpredictable risks. Philco Eletrônico SA will be free from legal responsibilities and disputes generated there and Philco Eletrônico SA will have the right to suspend or terminate the subscription license and / or other services.
8.5 It has been informed that the use of Philco Eletrônicos SA and the smart platform of its suppliers involves Internet services, which may be affected by unstable factors in all links. Although Philco Eletrônico SA has adopted safeguard measures, the service may be suspended, terminated, postponed, suffer from application restriction or application failure due to defects inherent in the Internet and electronic communication, in addition to factors beyond reasonable control of any part of the Contract (including but not limited to fire, flood, terrorist attack, pestilence, natural disaster, turmoil, terminal virus, hacker attack, network failure and terminal failure). IX. Termination of contract and breach of contract
9.1 You must understand that you must use the licensed software in accordance with the scope of authorization, respect the intellectual property of the software and the content contained in the software and perform obligations under the Agreement when using the services of Philco Eletrônicos SA Philco Eletrônicos SA terminate the application license if it is in material breach of the Agreement.
9.2 Your application of the software depends on the support services provided by the related companies of Philco Eletrônicos SA Violation of terms, agreements, rules, announcements and other relevant regulations of Philco Eletrônicos SA and its related companies may cause failure in the normal use of the licensed software ; in this case, Philco Eletrônico SA will have the right to terminate the application license or take measures to restrict your request, license or other rights and interests controlled by Philco Eletrônicos SA, as agreed in the Agreement, including suspension or cancellation of your subscription license. .
9.3 In the event of a breach of the Agreement or other agreements signed with Philco Eletrônicos SA, Philco Eletrônico SA will have the right to notify related companies, require them to take measures restrictive to their rights and interests, including requiring that related companies suspend or stop supplying part or entire services to you, and legally advertise your breach of contract on websites that are run or actually controlled by them.
9.4 The licensed software is downloaded from the download platform and must comply with the stipulations of the download platform, the system platform and the manufacture of the terminal in the application forms and restrictions of the licensed software. If the third party mentioned above confirms that it is in breach of Philco Eletrônicos SA's contract and treatment is necessary, Philco Eletrônicos SA may terminate its application license at the request of a third party.
9.5 When the application license ends, you must stop using the licensed software and destroy all copies.
9.6 You must assume all compensation responsibilities if Philco Eletrônicos SA and other users suffer losses caused by your breach of the terms of the Contract.
X. Governing laws and divisibility
10.1 The effectiveness, explanation, change, execution and dispute settlement of the Contract are subject to the laws of the People's Republic of China. If there are no relevant laws and regulations, references to general international business practices and (or) industrial practices must be made.
10.2 The dispute arising from or in connection with the Contract can be resolved by you and Philco Eletrônico SA through a friendly negotiation or submitted to the People's Court of Enter your company address, where the Contract is signed for award.
10.3 When any term of the Contract is considered invalid by the People's Court, it will not influence the effectiveness of other terms or any part of it, and Philco Eletrônicos SA shall execute the valid terms in good faith.
